Terms of Service

Linklet.io LLC ("Linklet.io", "we", "us", or "our") offers access to our cloud-based platform services (collectively referred to as the "Services") in accordance with these terms of service (this "Agreement", "Terms of Service"). When you use or access the Services, you confirm that you have read, understood, and agree to be bound by the terms outlined in this Agreement.

When accepting this Agreement on behalf of a company, business, or other legal entity, you affirm that you possess the necessary authority to bind that entity to these terms. In such cases, "you" will refer to the entity you represent. Should you lack this authority, or if you disagree with any part of this Agreement, you are prohibited from accepting it and must refrain from using our Services.

The Services are intended for users who are at least 18 years old. Persons under the age of 18 are not permitted to use or register for the Services.

The Services are not tailored to comply with industry-specific regulations (Health Insurance Portability and Accountability Act (HIPAA), Federal Information Security Management Act (FISMA), etc.), so if your interactions would be subjected to such laws, you may not use the Services. You may not use the Services in a way that would violate the Gramm-Leach-Bliley Act (GLBA).

Acceptance of Terms

Linklet.io is the owner and operator of the Service. Your use of our Service, whether current or future, constitutes acceptance of the most recent Terms of Service. This applies to all our existing and upcoming products, as well as any features we may introduce to our Service over time. There may be instances where we choose not to exercise or enforce a particular right or provision within the Terms of Service; however, such instances do not constitute a waiver of that right or provision.

Account Terms

When you create an account with us, you must provide us information that is accurate, complete, and current at all times. Failure to do so constitutes a breach of the Terms of Service, which may result in immediate termination of your account.

You are responsible for maintaining the confidentiality of your account and password, and for restricting access to your computer, and you agree to accept responsibility for all activities that occur under your account or password.

You must provide a valid, non-disposable email address to complete the registration process. Additionally, only human users are allowed to create accounts. The creation of accounts through automated means, such as bots or other automated methods, is strictly prohibited.

Prohibited Use

As a user of the Service, you are accountable for your actions and any content you share or transmit through the platform. The Service must not be utilized for any harmful or illicit purposes, which include, but are not limited to:

• Phishing or fraudulent activities
• Pornography or adult content
• Obscene, lewd, or otherwise objectionable content
• Platforms for gambling or wagering
• Content that violates intellectual property rights
• Harassment, threats, or promotion of violence
• Violations of applicable laws or regulations

We maintain the authority to suspend or terminate your access to the Service if we conclude, based on our own judgment, that you have breached these Terms of Service.

Intellectual Property Rights

You recognize and accept that the Service, along with all of its contents, features, and functionalities - including but not limited to all information, software, code, text, displays, graphics, photographs, video, audio, design, presentation, selection, and arrangement - are the property of Us, our licensors, or other providers of such material. These elements are safeguarded by United States and international laws pertaining to copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights.

Fair Use

You may use the Service for personal or commercial purposes, provided that you comply with the Terms of Service and all applicable laws.

Linklet.io offers unlimited short links (Linklets) as part of our Service. However, to ensure fair usage and maintain the quality of our platform for all users, we reserve the right to implement certain restrictions:

• Excessive Use. While we provide unlimited Linklets, we may limit or suspend accounts that demonstrate excessive use that could negatively impact our Service or other users' experience. This determination is at our sole discretion. Other features may have different limits.
• Rate Limit. We may limit or suspend accounts that exceed our rate limits. This determination is at our sole discretion.
• Concurrent Connections.We may limit the number of concurrent connections from a single account to protect our infrastructure and maintain Service quality.
• Other Restrictions. We may impose other restrictions on your use of the Service at our sole discretion.

These fair use policies are in place to ensure that Linklet.io can continue to offer a high-quality Service to all users. We reserve the right to modify these policies at any time, with or without notice, to address evolving usage patterns and Service requirements. Violation of these fair use policies may result in account suspension or termination. We encourage users with high-volume needs to contact our support team at support@linklet.io to discuss custom solutions that can accommodate their requirements while adhering to our fair use principles.

Payment, Refund, Upgrading and Downgrading Terms

Upon registration, you have the opportunity to explore our features without providing your credit card details. We only request your credit card details when you decide to upgrade to a paid plan.

For those opting for a paid plan, the charge is processed immediately upon upgrade, and your billing cycle commences on that same day. All subsequent billings for paying customers are automatically processed via credit card.

To maintain access to our Service, payment must be made in advance. In the event of non-payment, we offer a generous grace period of 30 days, during which your account may be retained with limited functionality. However, if payment is not received after this extended period, we reserve the right to suspend your account.

When you upgrade or downgrade your plan, we will immediately adjust your charges on a prorated basis, taking into account the duration you've used your previous plan. If the prorated adjustment results in a negative balance, we'll apply this as a credit to your account, which will be reflected in your next billing cycle's invoice.

We use a Merchant of Record to process payments, which provides customer service inquiries and handles returns. All fees are inclusive of all taxes, levies, or duties imposed by taxing authorities. The Merchant of Record will collect and remit those taxes to taxing authorities.

In the event that you have inadvertently subscribed to a paid Linklet.io plan, you may be eligible for a refund. To request a refund, please contact us via email at support@linklet.io. Refunds will be provided in full if you cancel your subscription within 72 hours of signing up for a monthly plan or within 30 days of signing up for an annual plan.

Cancelation and Termination

You are solely responsible for properly canceling your account. An email to cancel your account is not considered cancelation. If you cancel the Service before the end of your current paid up period, your cancelation will take effect at the end of the current billing cycle, and you will not be charged again. Upon cancelation, your account and associated data will be deleted. We cannot recover this information once it has been permanently deleted.

We maintain the right to suspend or terminate your account and deny any present or future use of our Service at our discretion, for any reason, and at any time. Such Service termination will lead to the deactivation or deletion of your account. We retain the prerogative to decline Service to any individual, for any reason, and at any time. We take these actions only in extreme cases, and only after exhausting all other options.

Any form of abuse - be it verbal, physical, written, or otherwise (including threats of abuse or retaliation) - directed at any of our Service customers, company employees, or officers may result in the immediate termination of your account.

Modifications to the Service and Prices

We retain the right to modify, alter, or discontinue any aspect of our Service, either temporarily or permanently, at any given time and without prior notification.

Occasionally, we may revise our product pricing structure. While we generally strive to shield existing customers from such alterations, there may be instances where we decide to adjust prices for our current user base. In such cases, we commit to providing a minimum of 30 days' advance notice, which will be communicated via the email address associated with your account. Additionally, we may choose to announce these changes through our official blog or within the affected Services.

Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN AS-IS AND AS-AVAILABLE BASIS. YOU AGREE THAT YOUR USE OF THE SERVICES WILL BE AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE SERVICES AND YOUR USE THEREOF, INCLUDING, WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT. WE MAKE NO WARRANTIES OR REPRESENTATIONS ABOUT THE ACCURACY OR COMPLETENESS OF THE SERVICES' CONTENT OR THE CONTENT OF ANY WEBSITES OR MOBILE APPLICATIONS LINKED TO THE SERVICES AND WE WILL ASSUME NO LIABILITY OR RESPONSIBILITY FOR ANY (1) ERRORS, MISTAKES, OR INACCURACIES OF CONTENT AND MATERIALS, (2) PERSONAL INJURY OR PROPERTY DAMAGE, OF ANY NATURE WHATSOEVER, RESULTING FROM YOUR ACCESS TO AND USE OF THE SERVICES, (3) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SECURE SERVERS AND/OR ANY AND ALL PERSONAL INFORMATION AND/OR FINANCIAL INFORMATION STORED THEREIN, (4) ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM THE SERVICES, (5) ANY BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE WHICH MAY BE TRANSMITTED TO OR THROUGH THE SERVICES BY ANY THIRD PARTY, AND/OR (6) ANY ERRORS OR OMISSIONS IN ANY CONTENT AND MATERIALS OR FOR ANY LOSS OR DAMAGE OF ANY KIND INCURRED AS A RESULT OF THE USE OF ANY CONTENT POSTED, TRANSMITTED, OR OTHERWISE MADE AVAILABLE VIA THE SERVICES. WE DO NOT WARRANT, ENDORSE, GUARANTEE, OR ASSUME RESPONSIBILITY FOR ANY PRODUCT OR SERVICE ADVERTISED OR OFFERED BY A THIRD PARTY THROUGH THE SERVICES, ANY HYPERLINKED WEBSITE, OR ANY WEBSITE OR MOBILE APPLICATION FEATURED IN ANY BANNER OR OTHER ADVERTISING, AND WE WILL NOT BE A PARTY TO OR IN ANY WAY BE RESPONSIBLE FOR MONITORING ANY TRANSACTION BETWEEN YOU AND ANY THIRD-PARTY PROVIDERS OF PRODUCTS OR SERVICES. AS WITH THE PURCHASE OF A PRODUCT OR SERVICE THROUGH ANY MEDIUM OR IN ANY ENVIRONMENT, YOU SHOULD USE YOUR BEST JUDGMENT AND EXERCISE CAUTION WHERE APPROPRIATE.

Limitations of Liability

IN NO EVENT WILL WE OR OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, LOSS OF DATA, OR OTHER DAMAGES ARISING FROM YOUR USE OF THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, OUR LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER AND REGARDLESS OF THE FORM OF THE ACTION, WILL AT ALL TIMES BE LIMITED TO THE AMOUNT PAID, IF ANY, BY YOU TO US DURING THE SIX (6) MONTH PERIOD PRIOR TO ANY CAUSE OF ACTION ARISING. CERTAIN US STATE LAWS AND INTERNATIONAL LAWS DO NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES OR THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE ABOVE DISCLAIMERS OR LIMITATIONS MAY NOT APPLY TO YOU, AND YOU MAY HAVE ADDITIONAL RIGHTS.

Governing Law and Jurisdiction

These Legal Terms and your use of the Services are governed by and construed in accordance with the laws of the State of Wyoming applicable to agreements made and to be entirely performed within the State of Wyoming, without regard to its conflict of law principles.
